Acceptance of Terms

By accessing and using the services provided by EliteNavigator Ltd ("EliteNavigator," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. EliteNavigator is a company registered in Ireland with registration number CRO974631, located at Eyre Square 131, Waterford, X89 3485, Ireland.

Description of Services

EliteNavigator provides smart building technology guidance and consultation services for construction professionals. Our services include but are not limited to technology assessment, system integration guidance, compliance consulting, training programmes, and ongoing technical support. All services are subject to the terms and conditions outlined in individual service agreements and this Terms of Service document.

User Obligations

By using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorised access to our systems or networks
• Respect the intellectual property rights of EliteNavigator and third parties
• Comply with all applicable laws and regulations in your jurisdiction
• Maintain the confidentiality of any proprietary information shared during our engagement

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed in writing, payments are due within 30 days of invoice date. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. EliteNavigator reserves the right to suspend services for accounts that are overdue beyond 60 days.

Intellectual Property

All content, materials, methodologies, and intellectual property provided by EliteNavigator remain the exclusive property of EliteNavigator unless otherwise specified in writing. This includes but is not limited to reports, recommendations, training materials, software, and proprietary processes. Clients are granted a limited, non-exclusive licence to use such materials solely for the purposes of their specific project. Any reproduction, distribution, or commercial use of our intellectual property without written consent is strictly prohibited.

Confidentiality

EliteNavigator acknowledges that during the course of providing services, we may have access to confidential information about your business, projects, and operations. We commit to maintaining the confidentiality of such information and will not disclose it to third parties without your written consent, except as required by law. Similarly, you agree to maintain the confidentiality of any proprietary methodologies, processes, or information shared by EliteNavigator during our engagement.

Limitation of Liability

To the maximum extent permitted by law, EliteNavigator's liability for any claims arising from our services shall be limited to the total amount paid by the client for the specific services giving rise to the claim. EliteNavigator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our services consist of guidance and recommendations; the implementation and results are ultimately the responsibility of the client and their chosen contractors.

Professional Standards

EliteNavigator strives to provide services in accordance with professional industry standards and best practices. However, technology recommendations and guidance are based on available information and current industry knowledge. The rapidly evolving nature of smart building technologies means that recommendations may become outdated, and EliteNavigator cannot guarantee the future performance or compatibility of recommended solutions.

Force Majeure

EliteNavigator shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control. In such events, we will make reasonable efforts to resume performance as soon as practicable.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the Irish courts. The parties agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such dispute.

Termination

Either party may terminate a service engagement with written notice as specified in the individual service agreement. In the absence of specific termination provisions, either party may terminate with 30 days written notice. Upon termination, the client shall pay for all services rendered up to the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination of these terms.

Modifications to Terms

EliteNavigator reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website with an updated revision date. Continued use of our services after such changes constitutes acceptance of the modified terms. For ongoing service engagements, we will provide reasonable notice of material changes that may affect existing agreements.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed from these terms. The remainder of these terms shall continue in full force and effect.

Entire Agreement

These Terms of Service, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and EliteNavigator regarding the use of our services. These terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and EliteNavigator with respect to our services.
